Terms of Service

Related: Privacy Policy · Refund & Cancellation Policy

1. Agreement and scope

  • These Terms of Service (“Terms”) are a contract between you and Muddassir Shaikh, trading as Clipaist (“Clipaist”, “we”, “us”), of Baldia Town, 3 No, Karachi 75760, Sindh, Pakistan. They apply when you visit clipaist.com or app.clipaist.com, use a free Clipaist tool, create an account, or use Clipaist Agent (the “Agent”).
  • By using the service, creating an account, starting a subscription or clicking to accept these Terms, you agree to them. If you use the service for a business, you confirm that you have authority to bind that business.
  • If you do not agree, do not use the service. Our Privacy Policy and Refund & Cancellation Policy are part of these Terms.

2. The service

  • Clipaist provides browser-based AI tools and a hosted AI customer-service workspace. The Agent lets a business train an assistant on its own website content and other knowledge, answer customer questions, capture leads, hand conversations to a human and connect supported messaging channels.
  • The free tools do not require an account. The Agent workspace requires an account, email verification and acceptance of these Terms. Some features, channels, regions or limits may be labelled beta, preview, launch-only or coming soon.
  • We may improve, change, suspend or discontinue a feature. We will not intentionally remove a paid feature during a paid term without a reasonable alternative or remedy.

3. Accounts and security

  • You must provide accurate account information, keep it current, and be at least 18 years old or the age of majority where you live. You are responsible for activity under your account and for the people you invite.
  • Keep your password and email account secure. Tell us immediately if you suspect unauthorised access. We may suspend an account to protect the service, other customers or the public.
  • You may not create accounts to evade limits, bans, billing or verification, or use another person’s account without permission.

4. AI Agent responsibilities

  • You control the Agent’s knowledge, instructions, persona, connected channels, retention settings and who receives leads. You are responsible for the accuracy of your website content, key facts, prices, policies, availability and contact details.
  • You must give your customers any notice and obtain any consent required for the Agent to chat with them, record the conversation, capture their contact details, send messages or make a handoff. You must comply with telemarketing, privacy, consumer, platform and anti-spam laws that apply to your business.
  • The Agent is a customer-service tool, not a professional adviser. Do not use it to give medical, legal, financial, tax, immigration, safety-critical or other regulated advice. For those questions, configure the Agent to hand off to a qualified human.
  • Do not use the Agent for decisions that produce legal or similarly significant effects on a person, such as credit, employment, housing, insurance, education or access to essential services, without qualified human review and a lawful basis.
  • You are responsible for reviewing and testing answers, especially prices, policies, promotions, opening hours and anything that could create a binding commitment. If you enable automatic replies, you remain responsible for what they say.

5. Acceptable use

  • Use the service lawfully and only for its intended business purposes. Do not use it to: break the law; infringe intellectual-property, privacy or publicity rights; impersonate a person or business; mislead customers; distribute malware; facilitate fraud, harassment, hate, sexual exploitation or violence; or collect data from children without lawful safeguards.
  • Do not upload or process sensitive information such as health records, legal case files, full payment-card numbers, government IDs, biometric data or other special-category data unless you have a lawful basis and suitable safeguards. Do not use the Agent as a storage system for confidential records.
  • Do not send spam, unsolicited bulk messages, or messages that violate a social platform’s rules. Do not scrape, crawl or automate the service in a way that bypasses rate limits, bot checks, plan limits or access controls.
  • Do not resell, sublicense, white-label or provide the service to third parties as a competing service without our written permission. Do not reverse engineer, probe or attempt to extract source code, models or other users’ data.
  • We may throttle, suspend or remove content or access that we reasonably believe violates these Terms, creates legal or security risk, or harms the service, a customer or the public.

6. Your content and licence

  • You keep ownership of the business content, website material, files, instructions, customer conversations and leads you provide (“Customer Content”). You grant Clipaist a worldwide, non-exclusive licence to host, copy, crawl, index, process, transmit and display Customer Content only as needed to provide, secure and support the service.
  • You confirm that you have the rights and permissions needed for Customer Content, including website text, images, logos, files and customer data, and that our processing of it as described in these Terms does not violate anyone’s rights.
  • AI-generated answers, drafts, images, audio and other outputs are provided for you to use in your business, subject to applicable law and third-party provider terms. We do not guarantee that an output is unique or that it does not resemble existing material.
  • If you send us feedback or suggestions, you allow us to use them without restriction or payment. We do not acquire ownership of your Customer Content by receiving feedback.

7. AI outputs and no professional advice

  • AI systems can be wrong, incomplete, biased, outdated or manipulated. Outputs are provided “as is” and “as available”. You must verify anything important before relying on it or sending it to a customer.
  • The Agent is not a lawyer, doctor, accountant, financial adviser or emergency service. It does not create a professional-client relationship. Do not rely on it for diagnosis, legal advice, investment decisions or emergency instructions.
  • You are responsible for human oversight, escalation rules and any disclosure required by your industry or jurisdiction. We may add safety filters, but we do not guarantee that every harmful or inaccurate output will be caught.

8. Plans, billing and renewal

  • The free tools and the launch Agent plan are free within the limits shown on the site. Paid plans, prices, included agents, message allowances and features are shown on the pricing page or at checkout. Prices are in the currency shown and may exclude taxes unless stated.
  • Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle handles payment, tax and receipts. By subscribing, you authorise recurring charges at the interval shown at checkout until you cancel. We do not store full card details.
  • You can cancel from your account or by contacting us before the next renewal date. Cancellation stops future renewals; it does not automatically refund the current period. Access continues until the end of the paid period unless your account is suspended for breach.
  • We may change prices or plan limits with reasonable notice. The change applies from your next renewal unless law requires otherwise. If you do not agree, cancel before the change takes effect.
  • Plan limits are enforced automatically. Exceeding a limit may pause new messages, agents or features until you upgrade, wait for the next period or reduce usage. We do not guarantee unlimited use.
  • Free launch, beta and promotional access may end or change. We will give reasonable notice before charging for something that was previously free.

9. Refunds and cancellation

  • Refunds and cancellations are governed by our Refund & Cancellation Policy, which forms part of these Terms. Read it before subscribing: /refund.
  • In short: you can request a refund within 30 days of any charge, through Paddle at https://paddle.net; cancel before renewal to avoid the next charge; duplicate or unauthorised charges are reviewed in good faith; and nothing in these Terms removes a mandatory consumer right.
  • Paddle processes approved refunds to the original payment method. Chargebacks should not be used before contacting us, because they can suspend access while the dispute is investigated.

10. Third-party channels and providers

  • The Agent can connect to third-party platforms and infrastructure, including Instagram/Facebook (Meta), Messenger, Telegram, Slack, Zernio, Cloudflare, AI inference providers, Resend and Paddle. Your use of a connected platform is also governed by that platform’s terms and policies.
  • Platforms may change APIs, permissions, message windows, review requirements or fees, or suspend an account. We are not responsible for a platform’s decisions or downtime, but we will make reasonable efforts to show the status and help you reconnect.
  • We may use subprocessors to provide the service. We remain responsible for our own obligations and require subprocessors to protect data consistently with our Privacy Policy and applicable law.

11. Privacy and customer data

  • Our Privacy Policy explains what we collect and how we use it. When you use the Agent with your customers, you are normally the controller of their data and Clipaist is your processor. You are responsible for notices, lawful basis, consent and honouring customer requests.
  • You must not direct us to process data in a way that violates law. If you need a data-processing agreement for your business, contact hello@clipaist.com.
  • You must keep your own backup of important business content and leads. We provide export and deletion tools where available, but the service is not a records archive.

12. Availability, changes and beta features

  • We aim to keep the service available, but we do not promise uninterrupted or error-free operation. Maintenance, provider outages, network problems, abuse and capacity limits can cause delays or downtime.
  • Beta, preview, launch and experimental features are provided as-is and may change or stop without notice. Do not build a critical business process on a beta feature without a fallback.
  • We may suspend access to protect the service, comply with law, investigate abuse or address non-payment. Where reasonable, we will notify you and allow export of your data.

13. Intellectual property

  • Clipaist and its licensors own the service, software, design, models, documentation and trademarks, excluding Customer Content and third-party material. These Terms grant you a limited, revocable, non-exclusive right to use the service during your account or subscription.
  • You may not copy, modify, distribute, sell, lease, reverse engineer or create derivative works of the service except as allowed by law or with our written permission.
  • All rights not expressly granted are reserved.

14. Suspension and termination

  • You may stop using the service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay, create legal or security risk, or use the service in a way that harms others.
  • On termination, your right to use the service ends. We may delete or anonymize data after a reasonable period, except where law requires retention. Sections that by their nature should survive — including content licences needed for backups, disclaimers, liability limits, indemnity and governing law — will survive.

15. Disclaimers

  • To the maximum extent permitted by law, the service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability or security.
  • We do not warrant that the Agent will answer every question correctly, that a channel will remain available, that AI outputs will be free of errors or third-party rights, or that data will never be lost. You use the service at your own risk.
  • Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

16. Limitation of liability

  • To the maximum extent permitted by law, Clipaist and its suppliers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill, data, business opportunity or anticipated savings, even if advised of the possibility.
  • Our total aggregate liability for all claims relating to the service in any 12-month period will not exceed the greater of: the amount you paid Clipaist for the service in that period, or USD 100. For a free service, the cap is USD 100.
  • We are not liable for acts or omissions of third-party platforms, payment processors, AI providers, internet providers or your own customers. These limits do not apply to fraud, wilful misconduct, gross negligence, death or personal injury caused by us, or any liability that cannot be limited by law.

17. Indemnity

  • To the maximum extent permitted by law, you will defend, indemnify and hold harmless Clipaist and its officers, employees, contractors and suppliers from claims, losses, liabilities, damages, fines and reasonable legal costs arising from: your Customer Content; your use of the Agent; your messages, leads or customer relationships; your breach of these Terms or law; or a claim that your content or instructions infringe someone else’s rights.
  • We will notify you of a covered claim and may participate in the defence. You may not settle a claim in a way that admits fault by Clipaist without our written consent.

18. Governing law and disputes

  • These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law rules. Subject to mandatory consumer law, the courts located in Pakistan will have exclusive jurisdiction.
  • Before filing a claim, email hello@clipaist.com with the details and give us 30 days to try to resolve it. This informal step does not limit either party’s legal rights.
  • If you are a consumer in a country with mandatory local protections, those protections apply and the local courts may have jurisdiction where required by law.

19. Changes and contact

  • We may update these Terms as the service or law changes. We will update the date above and, for material changes, provide a site or email notice where appropriate. Changes apply from the effective date; continued use means acceptance to the extent permitted by law. If you do not agree, stop using the service and cancel any paid plan.
  • Questions about these Terms: hello@clipaist.com. For billing, include the Paddle transaction or subscription ID from your receipt. For privacy requests, use “Privacy request” in the subject line.
